1. Acceptance of Terms

By creating an account or using CPA Pilot (the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are accepting on behalf of a company or firm, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. License and Use of Service

Subject to your compliance with these Terms and payment of applicable fees, CPA Pilot grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

CPA Pilot is designed to assist tax professionals with research, drafting, return review, and workflow automation. All AI-generated outputs are drafts that require your professional review and judgment before use with or delivery to clients. The Service does not constitute legal, tax, or accounting advice and does not substitute for the professional judgment of a licensed CPA or attorney.

3. Intellectual Property

Our property. CPA Pilot, its software, design, and underlying technology are owned by CPA Pilot and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of any part of the Service.

Your content.You retain ownership of all documents, data, and content you upload to the Service (“Your Content”). You grant CPA Pilot a limited license to process Your Content solely to provide the Service to you.

AI outputs.Outputs generated by the Service in response to your inputs (“Outputs”) are provided to you for your use. Because AI-generated content may not be eligible for copyright protection, you should apply your own professional judgment and authorship when using Outputs in work product.

4. Acceptable Use & Prohibited Conduct

You agree not to:

  • Use the Service to prepare, file, or sign tax returns on behalf of clients without appropriate professional review and responsibility
  • Upload content that you do not have the right to share, or that violates applicable law
  • Use the Service to build a competing product or service, or to train or fine-tune AI models
  • Scrape, crawl, or extract data from the Service by automated means
  • Attempt to gain unauthorized access to the Service, its servers, or connected systems
  • Share your account credentials or provide access to the Service to individuals not covered by your subscription
  • Use the Service in any manner that could disrupt, damage, or impair the Service or other users
  • Violate any applicable federal, state, or local law, including Circular 230 and applicable state CPA regulations

5. Third-Party AI Services

CPA Pilot’s features are powered in part by third-party large language model (LLM) providers. When you submit inputs (including tax documents or client information), those inputs may be transmitted to these providers for processing. We contractually restrict providers from using your data to train their models and require them to maintain appropriate security standards.

AI-generated outputs may contain errors, omissions, or outdated information. You are solely responsible for verifying all Outputs before relying on them or using them in client-facing work. CPA Pilot is a research and drafting tool — final professional judgment remains yours.

6. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access. You must provide accurate registration information and keep it current.

7. Subscription, Billing & Refunds

Billing. Subscriptions are billed in advance on a monthly or annual basis through Stripe, our third-party payment processor. By providing payment information you authorize us to charge your payment method for the applicable subscription fees.

Cancellation. You may cancel your subscription at any time from your account settings. Your access continues through the end of the current billing period; we do not prorate partial periods.

Refunds. We offer a 7-day refund on new annual subscriptions if you contact us within 7 days of your initial purchase. Monthly subscriptions are non-refundable once the billing period has begun. To request a refund, email [email protected].

Price changes.We may change subscription pricing with 30 days’ notice. Continued use after the notice period constitutes acceptance of the new pricing.

8. Your Data

Your use of the Service may involve uploading client tax documents and other confidential information. You represent that you have obtained all necessary client consents and authorizations required by applicable law, including IRC §7216, before submitting any client tax information to the Service.

9. Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPA PILOT’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CPA PILOT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. CPA PILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless CPA Pilot and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your violation of any applicable law or third-party right; or (d) your reliance on AI-generated Outputs without appropriate professional review.

11. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and deleting your account. We may suspend or terminate your access immediately, without prior notice, if we reasonably believe you have violated these Terms, failed to pay applicable fees, or if required by law.

Upon termination, your license to use the Service ends. Sections 3, 9, 10, and 13 survive termination.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. This section does not prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

You waive any right to participate in a class action or class-wide arbitration.
